Use of this website, operated by Trip Guaranty Group (hereinafter: the "Company") — including the use of information and/or links to other sources of information on or through the site, the submission of any information, the receipt of offers, and/or the purchase of flight tickets, vacation packages, travel services, and/or any products (hereinafter: the "Products") through this site (hereinafter: "Use of the Site") — is subject to the terms set out below. Your use of the site constitutes your agreement to accept these terms and your undertaking to act in accordance with them. Accordingly, if you do not accept any of these Terms of Use, you are requested not to make any use of this site.

Intellectual Property

The information and all pages contained on the site are the exclusive property of the Company. "Information" means any material and/or information presented on the site in any medium, including data on flights, hotels, destinations, prices, financial data, text, images, drawings, sketches, and records, including the manner in which the foregoing are designed.

The site contains various data and content protected by copyright, trademarks, and other proprietary rights. The site as a whole is also protected as a complete work. No action may be taken that infringes these proprietary rights. It is prohibited to modify, reverse-engineer, transmit, transfer, distribute, reproduce, perform, display, publish, license, create derivative works from, or copy and sell the information, content, and services on the site and/or originating from the site, in whole or in part, without the Company's express prior written consent.

The site as a whole, including all information appearing on it, the software on which it is based, and information and material accessed through it, is provided and made available to you "as is," as of the current moment.

Limitation of Liability and Nature of the Service

The Company makes every effort to provide users with a high-quality and secure experience on the site. However, the site is not immune to faults and/or issues, and you may not have access to it from time to time.

The user acknowledges that the site, including any content and/or service on it, is provided by the Company in its existing condition and subject to availability ("As Is" and "As Available"). Most of the products on the site are tickets and/or packages originating from cancelled transactions and/or unique inventory (resale), and their availability is therefore dynamic and may change at any given moment.

The Company serves as a technological platform and intermediary for the purchase of travel services. The Company is not the air carrier, the hotel, or the actual service provider. Accordingly, the Company shall not be liable for changes to flight schedules, flight cancellations by the airline, the quality of hotel service, and/or any damage directly related to the provision of the travel service itself.

Nothing stated on the site's pages or in the information contained therein constitutes a binding offer, except subject to final confirmation of the order and the successful completion of a passenger name change with the relevant supplier.

The Company and/or anyone acting on its behalf shall not be liable, whether directly or indirectly, for any damage that may be caused to you due to a defect or malfunction in the software operating the site or access to it, or due to the cancellation or discontinuation of services provided on the site.

It is possible that the information appearing on the site contains errors and/or inaccuracies (including in prices or flight details), even though the Company makes every effort to verify the quality and reliability of the information. The Company shall not be liable for any damage that may be caused as a result of such errors, and it reserves the right to cancel a transaction in the event of a clear clerical error in the price or product description.

The site may display content from third parties (such as flight details from airlines). Use of such content is also subject to the terms of use of those third parties.

Third-Party Links

The site may include links to other websites. These links are not under the Company's control, and it does not monitor the content of the linked sites. The Company is not responsible for any outcome resulting from use of the linked sites.

The Company may, at its discretion, remove any link from the site.

Any use of the site's content, including reliance on descriptions of destinations or hotels, is at the user's sole responsibility.

Data Security

The Company employs reasonable and advanced data security measures (including SSL encryption). However, absolute security does not exist online. As long as the Company employs reasonable security measures, it shall not be liable for damage caused as a result of a breach of its databases.

Credit card processing on the site is carried out through an external payment processor that complies with the strict PCI-DSS standard. Full credit card details are not stored on the Company's servers.

Site Registration and Submission of Information

When making a purchase or registering, the user undertakes to provide true and accurate details. Providing false information (such as incorrect passenger names) may lead to cancellation of the ticket by the airline, and responsibility for this rests solely with the user.

The username and password (if provided) are for personal use only.

Use of the Site

You undertake to use the site solely for lawful purposes — namely, the purchase of travel products for personal use. Commercial use of the information on the site, "scraping" of data, or purchasing tickets for the purpose of reselling them without the Company's approval is prohibited.

You undertake not to upload or distribute via the site any harmful material, viruses, or offensive content.

Submission of Information and Marketing Communications: By providing your details, you confirm that you agree that the Company may send you updates regarding order status and invoices, as well as relevant marketing information (subject to the option to opt out in accordance with the Israeli Communications Law).

Cancellations and Changes (Terms of Sale)

Cancellation policy: A substantial portion of the products on the site are "non-refundable" tickets, or tickets originally purchased under restrictive terms. The specific cancellation terms for each transaction will be presented to the user prior to purchase. In the event of a conflict, the specific ticket terms shall prevail over these general provisions, subject to the Israeli Consumer Protection Law.

The Company reserves the right to cancel a transaction and/or block a user if suspicion arises of fraud, use of a stolen credit card, or a breach of these Terms of Use.

General

Trip Resell (hereinafter: the "Company") permits you to use its communication channels subject to the terms set out below. Use of the communication channels is conditional upon agreement to these terms, and such use shall be deemed agreement on your part to all of them. Browsing the Trip Resell website and/or purchasing a flight ticket, product, or service offered for sale on it and/or on its other communication channels constitutes your agreement to accept and act in accordance with these terms; if you do not agree to any of these terms, you are requested not to use the communication channels. The Company reserves the right to change these terms at any time, at its sole and absolute discretion.

Collection and Use of Information

The Company collects information about users of its communication channels, both personal information voluntarily provided by users and general information that cannot be associated with any identifying or personal details. This information is collected, among other purposes, to improve and enhance the quality of the services provided through the communication channels.

Security and Confidentiality

To secure information within the communication channels, the Company uses measures intended to ensure user identification and encryption of transmitted credit card data. Communication between the browser and the Company's server is secured using data-security methods that conform to internet standards, intended to prevent transmitted information from being exposed to other users. However, the Company cannot fully secure its information and communication systems, and a risk of unauthorized access to the stored data still exists. Accordingly, by using the communication channels, you agree that the Company shall not be liable for damage caused, if any, as a result of unauthorized access to the database within the communication channels or use of information about you resulting from unauthorized access by others.

Uploading Information to the Communication Channels

You undertake not to use the communication channels and/or their content for any unlawful purpose, or for any purpose prohibited under these Terms of Use. You are obligated not to transmit, upload, retrieve, distribute, or publish any information or other material that:

• May restrict or prevent others from using the communication channels, is prohibited for publication or use, or constitutes a threat, harassment, insult, defamation, pornography, or any other offensive expression;
• May encourage, solicit, incite, or assist another person in committing an act prohibited by law;
• May infringe anyone's rights, including intellectual property rights, copyrights, patents, privacy rights, and/or any other proprietary right;
• Contains a virus or other software that may damage computer systems;
• Contains advertisements of any kind without the Company's prior consent; or
• Contains false or misleading information.

The Company cannot monitor all information uploaded to the communication channels by you or by other users. You acknowledge and agree that, without derogating from the foregoing, the Company reserves the right to edit, remove, and refuse to upload any information that, in its sole discretion, violates these Terms.

Access Restriction

The Company reserves the right to refuse to grant access to the communication channels, or parts thereof, to any user, at its sole discretion and without prior notice. The Company may block a user and prevent them from communicating with it under any of the following conditions:

• Breach of any of these Terms by the user;
• Deliberate provision of incorrect information by the user during registration and/or thereafter; or
• The user has committed an act or omission that harms the Company or the proper functioning of the communication channels.

Jurisdiction

These Terms, their validity, interpretation, and enforcement shall be governed by the laws of the State of Israel. Exclusive jurisdiction over any dispute related to these Terms shall lie solely with the competent courts of Tel Aviv and the Central District.

Transaction Cancellation Policy

The customer may cancel the transaction/order on the site, for reasons other than a product defect, at any time, by written notice to Trip Resell and in accordance with the Consumer Protection Law or the specific ticket terms. The transaction will be cancelled within 3 business days of receipt of the approved cancellation request (provided cancellation is possible under the ticket terms). Cancellation fees owed by the customer, or refund amounts, will be calculated in accordance with the order terms. Refunds will be issued as a credit to the credit card or by bank transfer, as applicable.

Miscellaneous

These Terms of Use constitute the entire agreement between you and the Company and shall be governed by the laws of the State of Israel. Exclusive jurisdiction to hear any dispute arising from these Terms shall lie with the courts of Israel. Should any part of this agreement be found invalid or unenforceable, the affected provisions shall be deemed replaced by valid and enforceable provisions whose content most closely approximates the intent of the original provisions, while the remaining provisions shall remain in effect.
